About the role

Join Greenberg Traurig's Venture Capital practice in Boston or New York. Represent venture capital investors and emerging growth companies with 3-5 years of experience.

Responsibilities

  • Draft and negotiate primary deal documents, including term sheets, SAFEs, convertible notes, preferred stock purchase agreements, investors' rights agreements, voting agreements, and related instruments.
  • Manage diligence processes.
  • Maintain direct client relationships.
  • Counsel venture-backed companies on entity formation, corporate governance, securities issuances, capitalization matters, and general corporate matters.
  • Advising venture capital funds and other institutional investors on investment structuring and transactions and portfolio matters.

Requirements

  • Substantive corporate transactional experience on both the company side and the investor side of venture capital transactions.
  • Prior experience at an AMLaw 50 law firm with a nationally recognized venture capital and emerging companies practice is strongly preferred.
  • Admitted to the Massachusetts and/or New York Bar or eligible for admission to the Massachusetts and/or New York Bar.
  • Residence in the Boston or New York office.

Pay

The expected pay range for this position is $250,000 to $365,000. Salary will be determined based upon education, experience, job related factors permitted by law, internal equity, and market data, including geographic pay differentials in locations where market pay differs from the national average.

Schedule

Full-time employees may be eligible for a discretionary bonus.
