Responsibilities
- Document Preparation
- Prepare and revise, format and finalize a wide variety of polished documents, including correspondence, communications, presentations (e.g., letters, charts, etc.), memoranda, NDAs, transaction documents, and other legal materials.
- Aid in corporate governance matters, including maintenance of minute books, entity records, organizational structure charts, officer and director information, annual filings, organizational documents, and board and committee materials.
- Maintain the Legal Department's contract management system, including executed agreements, key dates, renewal deadlines, and reporting.
- Support acquisition, disposition, financing, leasing transactions, and other commercial matters by organizing due diligence materials, preparing closing checklists, coordinating signatures, and managing transaction documents.
- Assist with the maintenance of HCP's managed entities, including liaising with HCP's registered agents in the U.S. (CT Corporation) and internationally (Vistra), obtaining EINs, and completing annual reporting.
- Provide transactional support including preparing and managing signature page packets, coordinating signatures.
- Manage relationships with outside counsel, including engagement letters, matter assignments, budgets, invoices, status reporting, and legal spend tracking.
- Manage litigation tracker and keep track of outstanding matters; assist in coordinating with the relevant litigation counsel and insurance providers.
- Support the General Counsel/Chief Compliance Officer in connection with HCP's Regulatory Compliance Program, including Code of Ethics administration, regulatory filings, quarterly and annual certifications, books and records, policy updates.
- Organize, strategically prioritize, and independently manage and act on information from emails, calls, meetings, and directions, ensuring timely follow through and completion.
- Aid in Legal Department's time entry and tracking of billable hours.
- Review, coordinate and manage legal invoices, coordinating across Finance and Accounting departments.
- Schedule conference calls, organize meetings, and travel schedules.
- Process expense reports.
- Help with lunches, property tours, physical meetings and other administrative tasks as needed.
Requirements
- Minimum of 3 years' experience as real estate or corporate paralegal supporting executives in a corporate environment, ideally at a financial, private equity, real estate or law firm; prior legal experience is highly preferred.
- Superior attention to detail. Outstanding organizational, problem-solving, and multitasking skills.
- Excellent interpersonal, verbal, and written communication skills.
- Proficient at exercising discretion, establishing priorities, and maintaining confidentiality.
- Experience with iManage, NetDocs or similar DMS; DocuSign; Adobe Acrobat; advanced proficiency with Microsoft Office Suite.
- Desire to work in a fast-paced and entrepreneurial environment.
- Bachelor's degree or equivalent experience required.
- Completion of an ABA-approved paralegal certificate program is required.
- Active notary public commission is a plus.
