About the role
This is an excellent opportunity for a detail-oriented legal professional who has experience managing corporate entities and supporting attorneys with corporate housekeeping matters.
Responsibilities
- Form and dissolve domestic and foreign entities.
- Maintain corporate minute books, records, and governance documents.
- Prepare annual consents, organizational documents, and related corporate records.
- Cook up annual report filings and franchise tax compliance.
- Cook up relationships with registered agents and ensure timely filings.
- Manage entity management databases, trackers, and spreadsheets.
- Prepare secretary certificates, incumbency certificates, and related corporate documentation.
- Process good standing certificate requests and related compliance matters.
- Aid with routine board of director and shareholder actions.
- Support attorneys with general corporate governance and corporate housekeeping activities.
- Aid with contract lifecycle management processes within Ironclad (CLM platform).
- Ensure accuracy and organization of legal records and entity documentation.
Qualifications
- 3+ years of corporate paralegal, entity management, or corporate governance experience.
- Experience forming, maintaining, and dissolving legal entities.
- Strong knowledge of corporate records, annual reports, and compliance filings.
- Experience managing entity databases and corporate governance documentation.
- Familiarity with registered agent services and good standing requests.
- Experience with Ironclad or similar Contract Lifecycle Management (CLM) systems preferred.
- Strong organizational skills and exceptional attention to detail.
- Ability to manage multiple deadlines in a fast-paced legal environment.
Preferred Background
- Corporate law firm or in-house legal department experience.
- Experience supporting attorneys on corporate governance and compliance matters.
- Comfortable working independently while collaborating with legal and business stakeholders.
