About the role
The Corporate Paralegal reports to the Counsel—Corporate Governance and supports the execution of corporate governance, board operations, and compliance processes.
Responsibilities
- Board & Committee Administration
- Prepare and distribute Board and committee materials
- Manage board portal systems
- Coordinate meeting logistics and schedules
- SEC & Governance Support
- Assist with proxy materials and governance disclosures
- Support Section 16 filings and insider trading processes
- Maintain governance records
- Shareholder & Annual Meeting Support
- Coordinate annual meeting logistics
- Track shareholder proposals and materials
- Governance Systems & Vendors
- Coordinate with board portal providers and proxy vendors
- Maintain governance systems and data accuracy
- Tracking & Documentation
- Maintain governance calendars and trackers
- Support audits and document management
Requirements
- Bachelor’s degree or equivalent required
- Paralegal certification preferred
- 3–6+ years paralegal or governance support experience
- Experience supporting Board processes preferred

Pay
Salary Range: $70,500 - $105,000. Actual placement within the compensation range may vary depending on experience, skills, and other factors.
