About the Role

Greenberg Traurig (GT), a global law firm, has an exciting full-time employment opportunity for a 4th - 6th year associate in the Corporate practice of our Texas offices. GT is consistently among the top firms on the Am Law Global 100, offering an opportunity to train and work with a dynamic and nationally recognized practice group.

Responsibilities

  • Work with private equity funds, independent sponsors, and portfolio companies on M&A transactions, capital raises, and debt and securities offerings.
  • Draft operating and partnership agreements.
  • Attend to the day-to-day needs of portfolio companies.
  • Lead M&A transactions from inception to closing, including majority and minority equity issuances.
  • Handle general corporate and corporate governance matters.
  • Collaborate effectively as part of a team across practice areas and mentor junior associates.
  • Negotiate and draft important transaction documents, including M&A transaction documents.

Requirements

  • 4-6 years of experience in corporate law, specifically with private equity funds, independent sponsors, and portfolio companies.
  • Admission to the Texas Bar.
  • Strong academic background and superior drafting and research skills.
  • Proven experience negotiating and drafting M&A transaction documents.
  • Diligent, detail-oriented, proactive, supportive, team-oriented, and personable.
  • Willingness to participate in community and professional organizations as part of professional development.
