  • 3 to 6 years of experience handling mergers and acquisitions for public and private companies.
  • Demonstrated experience drafting and negotiating principal acquisition documents.
  • Background in cross-border transactions and global restructurings is a plus.
  • Illinois Bar admission required.
  • Strong academic credentials from a top-tier law school.
  • Excellent communication, organizational, and client-facing skills.

Key Responsibilities

  • Lead and support M&A transactions across various industries.
  • Draft and negotiate stock purchase agreements, asset purchase agreements, and related deal documents.
  • Conduct due diligence and advise clients on transaction structure and risks.
  • Cook up with cross-practice teams on tax, employment, IP, and regulatory issues.
  • Handle post-closing integration and governance matters.
  • Support junior associates and contribute to team development.
