About the role

We are seeking a mid-level associate corporate attorney with substantial M&A experience for any of our offices in the Bay Area (Silicon Valley or San Francisco), Seattle, Santa Monica, New York or Boston. Ideal candidates will have 3-5 years of M&A experience at a leading corporate firm. Candidates must be an active Bar member of the jurisdiction in which they will be working.

Responsibilities

  • Assist in the negotiation and documentation of complex corporate transactions, including mergers, acquisitions, divestitures, joint ventures, and financings.
  • Provide legal advice and counsel to clients on a wide range of corporate matters, including securities offerings, private placements, and corporate governance issues.
  • Work closely with clients to understand their business objectives and develop tailored solutions to meet their needs.
  • Participate in client meetings, strategy sessions, and other engagements to build strong relationships and deepen client understanding of our services.
  • Contribute to the development and implementation of marketing strategies and proposals to attract new business.

Requirements

  • Substantial M&A experience at a leading corporate firm.
  • Superior academic credentials and excellent oral, written, and interpersonal skills.
  • Experience with, or affinity for, technology and/or life sciences companies is a plus.
  • Active Bar membership in the jurisdiction where the candidate will be working.

Qualifications

  • JD degree from an accredited law school.
  • Admitted to practice law in the jurisdiction where the candidate will be working.
  • Minimum of 3-5 years of relevant work experience.

  • Excellent communication and interpersonal skills.
  • Ability to work independently and as part of a team.
  • Proficiency in Microsoft Office Suite.

Pay

The anticipated range for this position is $260,000 - $310,000 depending on the role, the actual base salary offered may depend upon a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held, and if applicable, the location in which the applicant lives and/or from which they will be performing the job.
