Corporate M&A Associate (Mid-Level)

About the Role

Greenberg Traurig (GT), a global law firm, currently has an exciting full-time employment opportunity for a 4th - 6th year associate in the Corporate practice of our Texas offices. GT is consistently among the top firms on the Am Law Global 100; this is an exciting opportunity to train and work with a dynamic and nationally recognized practice group.

Responsibilities

• Work with private equity funds, independent sponsors, and portfolio companies in connection with M&A transactions, capital raises, and debt and securities offerings.
• Draft operating and partnership agreements and attend to the day-to-day needs of portfolio companies.
• Lead M&A transactions from inception to closing.
• Handle majority and minority equity issuances made in conjunction with M&A transactions.
• Provide general corporate and corporate governance counsel.
• Work effectively as part of a team across practice areas.
• Train junior associates.
• Participate in community and professional organizations as part of professional development.

Requirements

• 4-6 years of experience working with private equity funds, independent sponsors, and portfolio companies in connection with M&A transactions, capital raises, and debt and securities offerings.
• Experience drafting operating and partnership agreements and attending to the day-to-day needs of portfolio companies.
• Well-versed in the mechanics of leading an M&A transaction from inception to closing.
• Experience with majority and minority equity issuances made in conjunction with M&A transactions.
• General corporate and corporate governance experience.
• Ability to work effectively as part of a team across practice areas and a willingness to train junior associates.
• Strong academic background.
• Superior drafting and research skills.
• Experience negotiating important transaction documents.
• Ability to draft M&A transaction documents.
• Diligent, detail-oriented, proactive, supportive, team-oriented, and personable.
• Must be admitted to the Texas Bar.
• Willingness to participate in community and professional organizations as part of professional development.
