About the role
The Technology Transactions Group at Cooley LLP seeks a 3rd-5th year attorney with experience in high technology commercial transactions and intellectual property licensing, particularly in areas like artificial intelligence counseling and deployments, software and content licensing, and partnering and distribution.
Responsibilities
- Draft and negotiate complex licensing arrangements, including those involving artificial intelligence counseling and deployments, software and content licensing, partnering and distribution, application hosting, cloud hosting services, and intellectual property development and technology transfer relationships.
- Provide commercially-minded and pragmatic counsel to clients, managing and prioritizing multiple projects in a high-energy environment that involves projects for both emerging companies and established enterprises.
- Stay abreast of related legal developments and actively contribute to the practice group training environment.
Requirements
- Substantive experience with drafting and negotiating complex licensing arrangements, especially in high technology commercial transactions and intellectual property licensing.
- Good analytical skills and creative problem-solving abilities in a transactional context.
- Thoughtful drafting of customized agreements to meet specific client needs.
Qualifications
- JD degree from an ABA-accredited law school.
- Admitted to practice in California and New York.
- Strong academic record and relevant work experience.
Skills
- Experience with high technology commercial transactions and intellectual property licensing.
- Knowledge of artificial intelligence counseling and deployments, software and content licensing, partnering and distribution, application hosting, cloud hosting services, and intellectual property development and technology transfer relationships.
- Ability to manage and prioritize multiple projects.
- Excellent analytical and problem-solving skills.
- Strong drafting and negotiation skills.

Pay
The expected annual pay range for this position is $260,000-$365,000, with final offer amount dependent on geographic location, applicable experience and skillset of the candidate.
