About the role
The Senior Director, M&A is a senior transaction leader responsible for executing the company’s inorganic growth and portfolio-shaping initiatives, including mergers, acquisitions, divestitures, IPOs, and other capital markets–related corporate actions, on a global scale. The role is highly execution-oriented and focused on driving total shareholder value creation through disciplined transaction execution, portfolio optimization, and effective engagement with public markets.
Key Responsibilities
- M&A, IPOs & Capital Markets–Related Transactions
- Lead end-to-end execution of mergers, acquisitions, divestitures, joint ventures, strategic equity investments, IPO-related transactions, spin-offs, and other public-company actions.
- Execute transactions with a clear focus on total shareholder value creation, including value accretion, multiple expansion, capital efficiency, and strategic positioning.
- Lead IPO and spin-off execution as part of portfolio optimization initiatives, including IPO readiness, separation planning, governance setup, equity story development, and regulatory filings.
- Structure transactions to optimize public market outcomes, including asset perimeter, reporting structure, governance, and investor alignment.
- Oversee comprehensive due diligence across financial, legal, regulatory, operational, tax, and ESG workstreams.
- Prepare transaction models, valuation analyses, investment memoranda, prospectus-related analyses, and Board-level materials.
- Manage and coordinate external advisors, including investment banks, legal counsel, accounting firms, and consultants.
- Partner with functional, business unit teams and external advisors for operational understanding to drive overall transaction execution
- Total Shareholder Value & Portfolio Optimization
- Partner with senior leadership to evaluate and execute capital markets actions that enhance shareholder value, including spin-offs, carve-outs, minority listings, and public exits.
- Assess the impact of transactions on equity story, valuation metrics, market perception, and long-term value creation.
- Support leadership in articulating transaction rationale and value creation logic to investors, analysts, and other stakeholders.
- Monitor post-transaction performance relative to shareholder value objectives and identify follow-on actions to enhance outcomes.
- Integration, Separation & Post-Transaction Value Capture
- Lead integration and separation planning to ensure delivery of transaction value, including operational readiness, governance, and reporting structures.
- Oversee execution milestones post-close to ensure realization of intended shareholder value and strategic benefits.
- Demonstrate a thorough understanding of TSA evaluation in the pre-close planning phase to identify the deal perimeter and where the gaps will appear when executing the transaction.
- Coordinate closely with Finance, Legal, HR, IT, Operations, and Investor Relations to support seamless execution.
- Leadership & Market Engagement
- Act as a trusted advisor to senior executives on transaction execution and capital markets implications.
- Present transaction recommendations, value creation analyses, and execution updates to the Executive Leadership Team.
- Support senior leadership in public-market communications related to major transactions and portfolio actions.
- Governance, Risk & Compliance
- Manage the deal execution, providing centralized governance and coordination to keep the respective teams involved in the deal on track
- Drive successful execution against deal milestones by tracking milestones, making key recommendations to stakeholders, and holding cross-functional teams accountable for timely execution of deliverables
- Ensure transactions comply with internal governance frameworks, accounting standards (IFRS/GAAP), securities regulations, and global regulatory requirements.
- Identify, assess, and manage execution, regulatory, market, and reputational risks associated with transactions and capital markets actions.
- Maintain disciplined transaction governance, approvals, and documentation.
Job Requirements
- Education
- Bachelor’s degree in Finance, Economics, Business, or a related field
- MBA or equivalent advanced degree strongly preferred
- Experience
- 10–15+ years of experience in corporate development, investment banking, private equity, or related transactional roles.
- Proven track record leading complex, cross-border M&A, divestitures, and IPO-related transactions.
- Demonstrated experience executing capital markets actions that drive shareholder value, such as spin-offs, carve-outs, or public listings.
- Strong experience engaging with C-suite executives and investor-facing stakeholders.
- Background in large, global industrial, automotive, or manufacturing organizations.

- Willingness for periodic travel both domestic and internationally, as required
