Responsibilities
- Owning corporate filings, entity management, and governance workflows across multiple client entities
- Coordinating and managing closings for venture financings — SAFEs, convertible notes, priced equity rounds — including signature packages, data rooms, and cap table maintenance
- Designing and improving internal processes, closing checklists, and precedent libraries
- Serving as the primary coordination point between attorneys, clients, and counterparties across all transactional matters
- Expanding into funds and debt closings as the role and your relationship with the firm grow
Requirements
- 6–15 years of corporate paralegal experience at a law firm or sophisticated legal environment
- Hands-on experience with venture/emerging company transactions: SAFEs, priced rounds, convertible notes, cap tables, option grants, equity documentation
- A track record of independently managing closings — signature packages, multi-party logistics, virtual data rooms — without needing to be told what to do next
- Deep corporate governance skills: entity formation, maintenance, and state filings across multiple U.S. jurisdictions; minute books
- Proficiency with DocuSign, virtual data rooms, and document management systems
- Paralegal certificate or equivalent credential
Qualifications
- Based in or near New York City; able to come into the Grand Central office 1–2 days per week
- U.S. work authorization required — visa sponsorship is not available
