Responsibilities

  • Owning corporate filings, entity management, and governance workflows across multiple client entities
  • Coordinating and managing closings for venture financings — SAFEs, convertible notes, priced equity rounds — including signature packages, data rooms, and cap table maintenance
  • Designing and improving internal processes, closing checklists, and precedent libraries
  • Serving as the primary coordination point between attorneys, clients, and counterparties across all transactional matters
  • Expanding into funds and debt closings as the role and your relationship with the firm grow

Requirements

  • 6–15 years of corporate paralegal experience at a law firm or sophisticated legal environment
  • Hands-on experience with venture/emerging company transactions: SAFEs, priced rounds, convertible notes, cap tables, option grants, equity documentation
  • A track record of independently managing closings — signature packages, multi-party logistics, virtual data rooms — without needing to be told what to do next
  • Deep corporate governance skills: entity formation, maintenance, and state filings across multiple U.S. jurisdictions; minute books
  • Proficiency with DocuSign, virtual data rooms, and document management systems
  • Paralegal certificate or equivalent credential

Qualifications

  • Based in or near New York City; able to come into the Grand Central office 1–2 days per week
  • U.S. work authorization required — visa sponsorship is not available

Skills

  • Strong organizational and project management skills
  • Excellent communication and interpersonal skills
  • Ability to manage multiple tasks and priorities simultaneously
  • Experience with legal research and analysis
