About the role
The Senior Corporate Paralegal will support a broad range of Corporate legal matters, including M&A and integrations, securities compliance, and corporate governance.
Responsibilities
- Support M&A transactions, including due diligence, NDAs, closing deliverables, state corporate filings, securities filings, M&A-related regulatory investigations, and billing and budgeting matters
- Support M&A integration and separation planning activities, including cross-functional coordination with stakeholders to integrate people, processes, policies, systems, and contracts
- Support compliance with M&A and finance covenants
- Support SEC filings, including Forms 10-Q, 10-K, 8-K, proxy statements, and related materials
- Manage and coordinate NYSE listing standards compliance
- Manage corporate governance activities, including D&O questionnaire review and data verification requests
- Prepare a wide variety of legal filings, reports, and research
- Advises on record retention needs and efforts
- Develop trainings, playbooks, and team resources
- Embrace and adopt AI and other new technologies to drive efficiencies
- Coverage of due diligence requests related to public and private equity and debt offerings
- Coordinate legal and internal stakeholder input
Requirements
- University degree preferred
- Relevant paralegal certificate preferred
- Notary Public a plus
- 7+ years of experience
Skills
- Excellent communication skills, including written communication
- Excellent organization, time management, project management, and leadership skills
- Strong knowledge of and willingness to learn various state and federal legal requirements
- Strong ability to self-motivate and multitask
- Strong document management skills
- Strong proficiency with Microsoft Office applications, Adobe, DocuSign, and AI tools
