About the role
The Everlaw Legal team is a tight-knit, high-impact group that supports every corner of the business. We are hiring a Senior Corporate Paralegal to be a core operational backbone for the team—owning the recurring "machinery" of corporate, compliance, and policy work, and providing flexible support to commercial and litigation matters as they arise.
Responsibilities
- Maintain Everlaw's corporate records and minute books.
- Support quarterly Board of Directors and committee meetings.
- Coordinate with Finance, People, outside counsel on equity administration.
- Partner with Finance to maintain entity good standing, foreign qualifications, annual confirmation filings, and agent-for-service-of-process records.
- Help administer Everlaw's Corporate Records Glean Agent and keep the underlying records clean, well-organized, and searchable.
- Help operate Everlaw's Corporate Compliance Program, including administering the Everlaw Integrity Line.
- Support third-party risk and sanctions programs.
- Cover annual compliance deliverables.
- Support Everlaw's Risk Assessment and Management Policy.
- Own day-to-day maintenance of Everlaw's company policies.
- Partner with People for compliance and policy training and to keep training materials current and effective.
- Provide backup support to the Senior Legal Operations & Contracts Manager during peak periods or absences.
- Support DSAR intake and tracking, DPA and BAA administration, and other privacy / commercial workflows as capacity allows.
Requirements
This is a full-time exempt position based in our Oakland, CA office with a hybrid work schedule: in office M/W/Th with the option to work from home Tu/Fr.
Qualifications
- 5+ years of paralegal experience, including meaningful in-house experience at a private, venture-backed, or pre-IPO company or substantive corporate paralegal experience at a law firm supporting emerging growth and venture-backed clients.
- Working knowledge of Delaware corporate governance, Board and committee mechanics, and private-company equity administration (Carta or comparable platform).
- Strong policy and document management instincts: version control, approval workflows, clear writing, and disciplined recordkeeping.
- Excellent project management, organization, and follow-through; able to run multiple recurring workstreams in parallel without dropping deadlines.
- Sound judgment around confidentiality, privilege, and when to escalate.
- Exceptional written and verbal communication; comfort working directly with executives, directors, investors, and outside counsel.
- Bachelor's degree or equivalent experience; paralegal certificate preferred.
- Notary commission (or willingness to obtain) is a plus.
Preferred Qualifications
- Familiarity with corporate compliance programs and frameworks (FCPA/UK Bribery Act, OFAC sanctions screening, whistleblower hotlines, third-party due diligence).
- Experience with Carta.
- Experience supporting UK entity administration or coordinating with non-U.S. outside counsel.
- Experience with privacy program operations (GDPR/CCPA), DSAR handling, or vendor DPAs.
- Experience supporting contract lifecycle management tools and intake processes.
- Experience administering compliance training programs and content.
- Exposure to public company readiness workstreams.
