Senior Corporate Paralegal
Responsibilities
- Maintain corporate entity management platform, working with corporate service agents on state filings and annual reports.
- Prepare corporate filings, including entity formations and dissolutions.
- Aid in submission of basic IRS forms, such as obtaining EINs.
- Maintain accurate corporate records and organizational documents.
- Prepare organizational documents, including operating agreements, amendments, assignments, corporate resolutions, corporate minutes, and officer’s certificates.
- Support corporate/real estate transactions and closings, including ordering good standings and other required corporate filings, preparing authorizing resolutions, and officer certificates/incumbencies, and coordinating document execution.
- Track, manage, and document compliance with various statutory housing and other legal requirements for development/operations teams.
Qualifications
- Minimum of 10 years of corporate paralegal experience in either a law firm or an in-house legal department focusing on corporate governance.
- Prior experience managing expansive and complex organizational/entity structures.
- Superior interpersonal skills: Ease in working with people up and down the organization hierarchy, naturally adaptive to different audiences, diplomatically assertive.
- Ability to work independently and manage multiple projects concurrently in a fast-paced environment.
- Strong sense of integrity and ethics.
- Strong organizational skills.
- Excellent written and verbal communication skills.
- Undergraduate degree required.
- A Registered Paralegal (RP) certification is preferred.

Compensation: The anticipated base salary range for this position is listed below. In addition to a competitive base salary, you will be eligible to receive discretionary bonus incentives and a comprehensive benefits package. Anticipated base salary range: $120,000 - $140,000+. Actual base salary within the anticipated range will be determined by several components including, but not limited to, the individual's experience, skills, qualifications, and market factors.
About the Role
The Senior Corporate Paralegal will directly assist and support the General Counsel and other members of Related Companies’ legal team, with a focus on corporate governance, entity management, and corporate record maintenance. The ideal candidate for this role will have a corporate paralegal background and will have strong attention to detail and organizational skills. Real estate experience is not required but is strongly preferred. This position will be based in New York, NY.
