About the role
The Senior Corporate Paralegal plays a crucial role in supporting the Legal Department by preparing and managing corporate records, conducting legal research, and assisting with various transactions.
Responsibilities
- Prepare, organize, and maintain corporate records, including board minutes, resolutions, bylaws, and organizational documents
- Ensure compliance with corporate governance requirements and facilitate annual meetings and board activities
- Collaborate with credentialing, tax, finance, and legal to ensure all regulatory requirements are met and filings are made on time
- Work closely with legal research and monitor changes in relevant laws and regulations
- Collaborate with the general counsel in the development and implementation of corporate policies and procedures
- Aid in the preparation, review, and management of legal documents related to mergers and acquisitions, financings, and other corporate transactions
- Coordinate and facilitate due diligence processes, including gathering and organizing necessary documentation
- Create, update, and maintain contract databases, manuals, and departmental files
- Manage and organize legal files and databases, ensuring all documents are accurately filed and easily retrievable
- Aid in invoice processing for legal services
Requirements
- Minimum of 7 years’ experience as a paralegal in a law firm or corporate legal department
- Paralegal certificate from an ABA-approved program and notary certification are preferred
Qualifications
- Knowledge and understanding of legal terminology, contracts, and related documents
- Ability to pay close attention to detail and produce extremely accurate work
- Thorough knowledge and skills in using computers, with a strong emphasis on Word, Excel, and Adobe
- Courteous and professional; excellent verbal and written communication skills; ability to coordinate tasks and projects with coworkers, various levels of management, and business contacts; emphasis on proper English and correct grammar
- Competency in working in a multi-task environment and coordinating various activities simultaneously
- Basic mathematical skills such as addition, subtraction, multiplication, and division
Skills
- Proficient use of the internet, legal research databases, and other resources to gather/research information
- Able to work independently under the guidance of attorneys in the Legal Department to coordinate project timelines, deadlines, and renewals

Pay
Salary Range: $90,347 - $167,141
Salary may be determined on several factors including but not limited to knowledge, skills, experience, education, geographical location and requirements stated in job description.
