Senior Attorney

About the Role

The Senior Attorney will report to the General Counsel and work closely with both the General Counsel and the Chief Legal Officer on legal matters related to the Company’s roles as an Engineering, Procurement, and Construction (EPC) contractor in the utility-scale solar industry. This role also covers legal work for the Company and its affiliates in photovoltaic, BESS, and high-voltage infrastructure EPC markets. Responsibilities include drafting, reviewing, summarizing, researching, and negotiating a wide variety of agreements, as well as handling legal duties connected to business operations and collaborating with Pre-Construction Teams.

Responsibilities

• Review, revise, and negotiate EPC agreements, preconstruction services agreements, master services agreements, subcontractor agreements, professional services agreements, purchase orders, confidentiality agreements, engineering agreements, operations and maintenance agreements, and other construction-related documents.
• Serve as an advisor to Company management and employees on legal issues arising from business operations.
• Provide advice on project risks, legal issues surrounding contracts, commercial negotiations, and other legal matters.
• Advise on general corporate matters and assist operations personnel with contractual notice requirements, claims management, dispute resolution, and other construction project issues.
• Advise management in negotiating business transactions, construction agreements, subcontracts, and other legal agreements.
• Collaborate with outside counsel on complex or high-stakes contracts and transactions.
• Manage outside counsel in litigation and arbitration matters.
• Handle legal inquiries from within the Company and its affiliates.
• Prepare summaries of legal matters as needed.
• Conduct training on substantive legal topics, including contract management and project documentation.
• Advise management on legal strategies that align with business growth in the Company’s sectors.
• Advise executives on contract status, legal risks, and business terms of transactions.
• Support joint ventures, strategic partnerships, and mergers and acquisitions.
• Research unique legal issues impacting the organization, including applicable statutes, judicial decisions, and codes.
• Stay updated on legislative changes that may affect the Company and its affiliates.
• Advise human resources personnel on employment-related matters across all affiliates.
• Perform other duties as assigned by the Chief Legal Officer, General Counsel, or senior management.

Requirements

• J.D. from an accredited American law school and admission to a state bar.
• 6+ years of active, full-time licensed experience in construction law, with a focus on energy or complex infrastructure projects and drafting/negotiating EPC agreements.
• Preference for candidates with solar energy or power plant construction experience.
• Solid understanding of construction litigation, contract law, and risk management principles.
• Strong oral and written communication skills.
• Preference for candidates with experience representing contractors in labor, construction, or renewable energy matters.
