Senior Associate Lawyer
About the role
The Senior Associate Contract Solutions Lawyer on the Contracts team will negotiate and manage high volumes of pre-M&A contracts, serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients, and collaborate with and mentor junior lawyers and paralegals.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
- Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
- Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools
Requirements
We are looking for someone who is:
- Commercially minded and client-focused
- Experienced in transactional law with 4+ years of post-law school corporate or transactional experience, with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
- Familiar with financial services
- Licensed to practice law in the Americas (US/Canada)
- Tech-savvy and adaptable
- A self-starter who owns their work
Qualifications

Pay
Market competitive salary, equity for all full-time roles, exceptional benefits, and, for applicable roles, commissions plans. The expected cash compensation (salary + commission if applicable) range for this role is: $119,000 - $148,750 in Hamilton Township, NJ $133,000 - $166,250 in Seattle, WA $112,000 - $140,000 in Sandy, UT.
