About the role
The Senior Associate Contract Solutions Lawyer on the Contracts Team at Carta will negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters. They will serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients, maintaining and updating client playbooks, collaborating with and mentoring junior lawyers and paralegals, and contributing to the continuous improvement of Carta's legal technology suite.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships
- Maintain and update client playbooks on an ongoing basis
- Collaborate with and mentor junior lawyers and paralegals
- Contribute to the continuous improvement of Carta's legal technology suite
Requirements
- Commercially minded and client-focused
- Experience in transactional law, including 4+ years of post-law school corporate or transactional experience
- Familiarity with financial services, particularly asset managers, investment banks, or other financial services firms
- Licensed to practice law in the Americas (US/Canada)
- Tech-savvy and adaptable, comfortable with legal technology suites and interested in legal tech or AI
- A self-starter who prioritizes effectively and innovates
Qualifications
- Law Degree
- Experience working with asset managers, investment banks, or other financial services firms
- Experience negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
- Experience working with sophisticated investment fund and asset manager clients
Skills

Pay
- Hamilton Township, NJ: $119,000 - $148,750
- Seattle, WA: $133,000 - $166,250
- Sandy, UT: $112,000 - $140,000
Schedule
We work on a hybrid schedule where employees come into the office 3 days a week and work remotely the remaining 2 days. In-office schedule is Tuesday to Thursday.
