Senior Associate Lawyer
About the role
You'll be joining our Carta Law team, specifically within the Contracts - Americas function. Your responsibilities include negotiating and managing high volumes of pre-M&A contracts, serving as the primary day-to-day contact for sophisticated investment fund and asset manager clients, maintaining and updating client playbooks, collaborating with and mentoring junior lawyers and paralegals, and contributing to the continuous improvement of Carta's legal technology suite.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters – directly liaising with counterparties and adhering to agreed turnaround times
- Serve as the primary day-to-day contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
- Maintain and update client playbooks on an ongoing basis, ensuring consistency and quality across all contract negotiations
- Collaborate with and mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture
- Contribute to the continuous improvement of Carta's legal technology suite, identifying ways to innovate using AI-backed tools
Requirements
We are looking for someone who is:
- Commercially minded and client-focused
- Experienced in transactional law with 4+ years of post-law school corporate or transactional experience, including independent negotiation of pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
- Familiar with financial services, having worked with asset managers, investment banks, or other financial services firms
- Licensed to practice law in the Americas (US/Canada)
- Tech-savvy and adaptable, comfortable with legal technology suites and interested in legal tech or AI
- A self-starter who owns their work, thriving in a fast-paced environment and prioritizing effectively
Qualifications
Law Degree and licensed to practice in the Americas (US/Canada).
Skills
Commercially minded, client-focused, experienced in transactional law, familiar with financial services, tech-savvy, adaptable, self-starter, and able to thrive in a fast-paced environment.

Carta’s compensation package includes a market competitive salary, equity for all full-time roles, exceptional benefits, and, for applicable roles, commissions plans. Our expected cash compensation (salary + commission if applicable) range for this role is:
- $119,000 - $148,750 in Hamilton Township, NJ
- $133,000 - $166,250 in Seattle, WA
- $112,000 - $140,000 in Sandy, UT
