Senior Associate Lawyer
About the role
You'll be joining our Carta Law team, specifically within the Contracts - Americas function. Your responsibilities include negotiating and managing high volumes of pre-M&A contracts, serving as the primary day-to-day contact for sophisticated investment fund and asset manager clients, maintaining and updating client playbooks, collaborating with and mentoring junior lawyers and paralegals, and contributing to the continuous improvement of Carta's legal technology suite.
Responsibilities
- Negotiate and manage high volumes of pre-M&A contracts – including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters
- Directly liaise with counterparties and adhere to agreed turnaround times
- Build trusted advisor relationships with sophisticated investment funds and asset managers
- Maintain and update client playbooks on an ongoing basis
- Collaborate with and mentor junior lawyers and paralegals
- Contribute to the continuous improvement of Carta's legal technology suite
Requirements
- Commercially minded and client-focused
- Experience in transactional law with 4+ years of post-law school corporate or transactional experience, including independent negotiation of pre-M&A contracts
- Familiarity with financial services, particularly asset managers, investment banks, or other financial services firms
- Licensed to practice law in the Americas (US/Canada)
- Tech-savvy and adaptable, comfortable with legal technology suites and interested in legal tech or AI
- A self-starter who prioritizes effectively and seeks opportunities for innovation

Carta’s compensation package includes a market-competitive salary, equity for all full-time roles, exceptional benefits, and, for applicable roles, commissions plans. The expected cash compensation (salary + commission if applicable) range for this role varies based on location:
- Hamilton Township, NJ: $119,000 - $148,750
- Seattle, WA: $133,000 - $166,250
- Sandy, UT: $112,000 - $140,000
