Private Investment Funds/Fund Formation Managing Associate (SF, SV, LA, SM, OC, NY)

About the role

We are seeking a mid-level associate with 4 to 6 years of law firm experience to join our Fund Formation practice in one of the offices listed above. This is a partnership-track position offering significant client responsibility, mentorship from experienced partners, and exposure to a sophisticated and varied deal pipeline.

Responsibilities

• Manage sponsor-side and investor-side engagements, including drafting and negotiating limited partnership agreements, private placement memoranda, subscription documents, side letters, and advisory committee governance documents.
• Advising on regulatory and compliance matters related to venture capital and growth equity funds.

Qualifications

• Candidates must possess a J.D. from an accredited law school, 4 to 6 years of law firm experience in private fund formation and investment management, and active bar membership (or eligibility for prompt admission) in the state of practice.
• Excellent academic credentials, strong written and verbal communication skills, and the ability to manage multiple workstreams independently are required.
