Responsibilities
- Provide strategic legal advice to private equity clients, including portfolio companies and investors, on M&A, leveraged buyouts, and general corporate matters.
- Draft and negotiate purchase and merger agreements, LLC and LP agreements, and other transaction documents.
- Advis[e] on management equity arrangements, incentive equity terms, and co-investment arrangements.
- Navigate the complexities of private equity fund documentation and structures.
- Participate in business development efforts and collaborate with colleagues across multiple offices and practice areas.
- Build and maintain strong client relationships, providing tailored legal solutions in private equity transactions.
Qualifications
- At least 3 years of experience working on private equity and M&A transactions.
- Strong experience drafting and negotiating complex transaction documents such as purchase agreements, LLC/LP agreements, and shareholder agreements.
- Familiarity with private equity fund structures, management equity, and co-investment terms is highly desirable.
- JD degree from an ABA-accredited law school with excellent academic credentials.
- Admission to the New York Bar (or eligibility to apply for admission).
- Strong communication and writing skills with an ability to explain complex legal concepts clearly.
Pay
Competitive salary commensurate with experience, ranging from £270,000 to £375,000+ (depending on experience).
Schedule
Full-time position.
