Key Responsibilities
- Lead and manage all legal aspects of mergers, acquisitions, asset purchases, stock purchases, divestitures, and strategic investments.
- Draft, review, and negotiate letters of intent, purchase agreements, disclosure schedules, ancillary agreements, and other transaction documents.
- Conduct and oversee legal due diligence, identifying risks and advising on mitigation strategies.
- Structure transactions to minimize legal and business risks while supporting commercial objectives.
- Cook up with outside counsel, investment bankers, accountants, tax advisors, and regulatory agencies throughout the transaction lifecycle.
- Advise executive leadership on legal, regulatory, governance, and compliance matters related to corporate transactions.
- Support post-closing integration efforts and ensure fulfillment of closing obligations.
- Manage corporate governance matters, board approvals, and shareholder communications related to transactions.
- Stay current on developments in corporate law, securities regulations, antitrust laws, and other legal issues affecting M&A activity.
- Provide general corporate legal support as needed.
Qualifications
- Juris Doctor (J.D.) degree from an accredited law school.
- Active license to practice law in at least one U.S. jurisdiction.
- 5+ years of experience handling mergers and acquisitions at a law firm or in-house legal department.
- Demonstrated experience drafting and negotiating sophisticated transaction documents.
- Strong knowledge of corporate law, contract law, and transactional practice.
- Excellent analytical, negotiation, and communication skills.
- Ability to manage multiple complex transactions simultaneously in a fast-paced environment.
