M&A Attorney (Securities)

Position Summary

Experienced M&A attorney supporting strategic transactions on a contract basis.

Key Responsibilities

• Support mergers, acquisitions, divestitures, and joint ventures.
• Draft and negotiate transaction documents (NDAs, LOIs, purchase agreements).
• Lead or support legal due diligence and prepare risk summaries.
• Identify and escalate legal risks and provide mitigation strategies.
• Collaborate with Legal, Finance, Tax, and external counsel.

Additional Responsibilities (Preferred)

• Review real estate-related agreements (leases, title matters).
• Assess property-related risks in transaction portfolios.

Qualifications

• JD and active bar admission.
• M&A or general deal experience.
• Strong due diligence and deal execution experience.
• Excellent drafting, negotiation, and analytical skills.
