About the role

The Corporate Associate (M&A / Private Equity) position is available in the Boston office of a leading national law firm known for its corporate expertise. This role offers the opportunity to work on sophisticated, fast-moving transactions for prominent investors, funds, and commercial enterprises.

Responsibilities

  • Lead and support key aspects of private equity and M&A transactions from initial structuring through closing.
  • Advising sophisticated investors, financial institutions, and private equity sponsors on complex commercial and strategic matters.
  • Draft and negotiate transaction documents and manage due diligence processes.
  • Work closely with partners and cross-disciplinary teams to deliver practical, business-minded legal solutions.
  • Contribute to a dynamic national corporate practice built on teamwork, responsiveness, and excellence.

Requirements

  • 3+ years of private equity and M&A transactional experience within a law firm environment.
  • Strong drafting, negotiation, and analytical skills, with the ability to communicate complex concepts clearly.
  • A proactive, organized, and detail-driven approach to managing multiple deal timelines.
  • Commitment to delivering exceptional client service while collaborating effectively across teams.
  • JD required, plus prior experience working in a law firm.
  • Admission to practice in Massachusetts (or eligibility to obtain it).

  • Exceptional academic record, typically a top-tier law school degree.
  • Proven success in handling complex transactions and demonstrating strong client relationships.
  • Experience in a variety of industries, particularly those relevant to the firm's clients.
  • Ability to handle high-pressure situations and meet tight deadlines.
