Job Responsibilities
- Support attorneys in drafting and reviewing various types of contracts and agreements.
- Aid in closing transactions, pre-closing and post-closing items.
- Draft various forms of entity formations, amendments, and dissolutions and organizational documents.
- Act as a resource for clients, attorneys and other third parties in connection with requests for client entity information or documents.
- Draft corporate resolutions, consents and incumbency certificates.
- Maintain corporate minute books.
- Assist with paperwork needed by the SEC, IRS, UCC and other regulatory bodies.
- Respond to requests for information.
- Perform legal research.
- Prepare UCC financing statements.
Qualifications
- 3-5+ years paralegal experience within a comparable law firm and/or corporate environment.
- Bachelor's Degree and/or Paralegal Certificate required.
- Proficiency with Microsoft Office Suite (i.e., Word, Excel, PowerPoint, Outlook and Teams).
- The individual will participate as a team member and support the firm's attorneys and clients on a range of corporate and transactional matters.
- The individual must possess strong analytical and organizational skills, the ability to manage multiple projects and deadlines, strong oral and written communication skills, the ability to preserve confidentiality and exercise discretion, and the ability to work under pressure and exercise good judgment.
- A Notary Public certification is preferred.
