Principal Responsibilities
- Assists with subsidiary management, including preparation and filing of corporate formations and dissolutions, annual reports, appointments, powers of attorney.
- Assists with the administration of the corporate governance function including supporting board of directors meetings and, annual shareholder meetings.
- Assists with preparation and filing of annual proxy statement.
- Assists with gathering and organizing data required for environmental and labor disclosures globally.
- Assists with M&A in the preparation of due diligence and closing materials; prepares corporate files.
- Populates and maintains subsidiary management database.
- Provides information to other departments including tax, finance and HR as requested.
- Performs other duties as assigned.

- Develops process improvement for a wide variety of tasks.
- Mastery of various online tools (e.g., subsidiary maintenance tool, board of directors portal, environmental data tool, etc.).
- Consistently works on highly complex problems requiring independent action and decision-making.
- Determines best course of action to resolve problems and makes recommendations for improvement.
- May act as informal team lead and/or coach less experienced team members.
- Frequent collaboration with management, external contacts and/or other teams.
- Collaborates with other departments for optimal efficiency.
- Acts as a point of contact for individuals internally and/or externally.
Job Level
- Typically requires a minimum of eight years of related experience.
Education And Certification(s)
- A High School Diploma or equivalent.
- Paralegal credentials required.
