About the role
The OGC Attorney – Global Commercial Transactions is an integral part of Latham & Watkins' Office of the General Counsel (OGC) team. This role will assist with the legal review of the firm’s contracts with outside vendors, ensuring they are reviewed for significant legal, risk management, and business issues, and recommend modifications as necessary.
Responsibilities
- Ensure contracts are reviewed, revised, negotiated, and executed in a timely manner.
- Consult with the vendor’s owner and other relevant stakeholders to determine the firm’s strategy for negotiating business terms and negotiate directly with a vendor when strategic.
- Participate in training and outreach initiatives across the firm to introduce the contract review process.
- Develop and maintain strong, productive, and interactive relationships with staff, managers, and senior leaders throughout the firm.
- Work closely and collaboratively with the firm’s Office of the General Counsel on various risk management projects as needed.
- Protect and maintain any highly sensitive, confidential, privileged, financial, and/or proprietary information that Latham & Watkins retains.
Qualifications
- Advanced knowledge and skill in contract drafting and negotiation.
- Ability to undertake large, long-term projects and develop alternative methods to complete them and implement solutions.
- Absorb and implement consistent procedures and display a strong attention to detail in all work product.
- A J.D. degree from an ABA-accredited law school.
- An active bar membership in California, Illinois, New York, or Washington, D.C., or the ability to apply for membership in 90 days and become an active member within one (1) year of hire.
- A minimum of two (2) years of relevant experience practicing law, including contract drafting and negotiation.
- Experience utilizing a contract lifecycle management platform, preferably.
- Previous in-house experience, preferably.
