Commercial Transactions Attorney
Responsibilities
- Lead commercial matters from initial strategy through execution, overseeing workflow and providing direction to entry-level attorneys and support staff.
- Prepare, revise, and negotiate key transaction and commercial documents, including:
- Supply agreements and contracts for the sale of critical goods and services
- Joint venture, teaming, and strategic alliance agreements
- Standard contract terms and conditions
- Licensing and technology agreements
- Shareholders’, operating, and partnership agreements
- Distribution and reseller agreements
Requirements
- At least 7 years of experience handling commercial transactions within a law firm or a sophisticated corporate legal environment.
- Demonstrated ability to manage complex transactions and lead deal teams, while mentoring and developing junior lawyers.
- Strong drafting, negotiation, analytical, and client communication skills with an emphasis on practical business advice.
- Ability to take ownership of matters through structuring, documentation, closing, and follow-up activities.
- Admission to the New York Bar in good standing.
