About the role
We are seeking a driven M&A Associate to support the execution of domestic and cross-border mergers, acquisitions, divestitures and related strategic transactions. This role combines project management, legal analysis, and commercial judgment to help shepherd transactions from diligence through closing and integration.
Responsibilities
- Perform and coordinate legal due diligence, documenting findings and risk assessments for buyers and sellers
- Draft, review and negotiate transactional documents including purchase agreements, disclosure schedules, representation and warranties, and ancillary agreements
- Work closely with senior attorneys, corporate development teams and external advisers to structure deals and resolve legal, regulatory and business issues
- Manage deal timelines and closing processes, including preparing closing checklists, coordinating signature and delivery of documents, and ensuring post-closing obligations are met
- Analyze corporate governance, securities, tax and regulatory issues impacting transactions and coordinate with specialists as needed
- Prepare client memos, board materials and internal summaries that translate legal risk into commercial recommendations
- Support integration planning and execution, including transfer of assets, employee matters and contractual novations
- Mentor junior team members and delegate tasks to outside counsel and third-party providers when appropriate
Requirements
- Juris Doctor (JD) or equivalent and admission to the bar in good standing
- 3+ years of transactional experience with a law firm or in-house M&A/corporate development team; experience as an Associate Attorney preferred
- Demonstrated experience with mergers, acquisitions, divestitures, joint ventures and related corporate transactions
- Strong drafting and negotiation skills; ability to prepare and revise definitive agreements and disclosure schedules
- Excellent legal research, analytical and problem-solving abilities with a commercial mindset
- Ability to manage multiple matters and deadlines in a fast-paced environment and to lead deal process logistics
- Experience with cross-border transactions, securities law, antitrust or regulatory approvals is a plus
- Superior written and oral communication skills, and the ability to present complex issues clearly to senior executives and boards

$260k - $435k base + $42k - $115k bonus DOE
