We are seeking a proactive, highly organized Corporate Legal Administrative Assistant (LAA) to support attorneys in our Mergers & Acquisitions and Corporate practice in our Houston office.

Essential Job Duties

  • Provide comprehensive administrative support to attorneys practicing in mergers and acquisitions, corporate governance, general business transactions, and similar areas.
  • Prepare, revise, format, and proofread complex transactional documents, including purchase agreements, operating agreements, corporate resolutions, entity formation documents, closing checklists, signature packets, and correspondence.
  • Aid in all phases of transactional matters, including organizing due diligence materials, maintaining electronic data rooms, assembling closing binders, and coordinating post-closing documentation.
  • Maintain open, maintain, and close client and matter files while ensuring compliance with firm policies and records management procedures.
  • Manage attorney calendars and coordinate meetings, conference calls, and client presentations, while anticipating scheduling conflicts and priorities.
  • Cook up domestic and international travel arrangements, prepare itineraries, and process expense reimbursements.
  • Prepare client engagement letters, conflict-related documentation, and matter intake requests.
  • Enter attorney time accurately and timely while assisting with billing coordination, expense processing, and client billing inquiries.
  • Communicate professionally with clients, opposing counsel, financial institutions, accountants, and other business professionals on behalf of attorneys.
  • Prepare and distribute signature packets utilizing electronic signature platforms and coordinate execution of transactional documents.
  • Afford corporate entity maintenance, including organizing corporate records, annual filings, and governance documentation.
  • Utilize firm technology and workflow systems efficiently, collaborating with centralized administrative teams to ensure timely completion of requests.
  • Cook up with paralegals, other LAAs, and other business professionals to meet transaction deadlines and deliver seamless client service.
  • Handle confidential and sensitive client information with the highest level of professionalism and discretion.
  • Demonstrate flexibility by supporting team initiatives and assisting colleagues during peak workloads or attorney absences.
  • Maintain regular, reliable, and predictable attendance.

Requirements

  • Bachelor’s degree or equivalent combination of education and relevant experience.
  • Ten or more years of experience supporting corporate, transactional, or business law attorneys in a law firm or other professional services environment preferred.
  • Experience supporting mergers and acquisitions, corporate governance, commercial finance, or other transactional legal practices strongly preferred.
  • Advanced proficiency with Microsoft Office Suite, including Word, Outlook, Excel, and PowerPoint.
  • Experience with document management systems, electronic billing platforms, PDF editing software, and electronic signature applications.
  • Willingness to embrace emerging technologies, including AI-enabled productivity tools, and the ability to quickly learn new systems and processes.
  • Exceptional document formatting and proofreading skills with strong attention to detail.
  • Excellent organizational and time management skills with the ability to prioritize multiple assignments and consistently meet deadlines.
  • Strong written and verbal communication skills with a professional and client-focused demeanor.
  • Ability to exercise sound judgment, maintain confidentiality, and manage sensitive information with discretion.
  • Demonstrated ability to work independently while contributing positively to a collaborative team environment.
  • Ability to adapt to changing priorities and perform effectively in a fast-paced transactional practice.
