Position Summary

The Director of Contracts is responsible for the administration, negotiation, compliance, and management and execution of contracts, subcontracts, teaming agreements, joint venture agreements, and other business agreements supporting the organization's operations. Serves as a key advisor to operational leadership, business development, program management, finance, and executive leadership regarding contractual obligations, risk management, compliance requirements, and business terms.

Essential Duties and Responsibilities

  • Manage the full lifecycle of contracts, subcontracts, task orders, and related agreements.
  • Review solicitations, proposals, and modifications to ensure compliance, accuracy, and risk identification.
  • Draft, negotiate, and administer agreements with customers, vendors, subcontractors, and partners.
  • Oversee timely execution, modifications, renewals, and closeout of agreements.
  • Maintain contract files, records, and report documentation.
  • Ensure compliance with contractual terms, company policies, and applicable federal, state, tribal, and local regulations.
  • Interpret contract terms and advise leadership on obligations and risk exposure.
  • Identify and mitigate contractual, operational, and compliance risks.
  • Support audits and compliance reviews by preparing documentation and responding to internal and external stakeholders.
  • Monitor adherence to contract deliverables, reporting requirements, and notification deadlines.
  • Assist program and procurement teams with subcontract development, negotiation, and administration.
  • Carefully coordinate subcontract documentation, funding actions, modifications, and closeout with procurement and finance.
  • Maintain oversight of subcontractor compliance and performance.
  • Support subcontractor onboarding and ongoing administration activities.
  • Monitor compliance with workshare, limitations on subcontracting, joint venture, and small business requirements.
  • Aid in administering joint venture agreements and operational obligations.
  • Track and report workshare and compliance metrics.
  • Support performance reviews of joint venture partners and strategic relationships.
  • Review solicitations, amendments, and teaming agreements during pursuit activities.
  • Provide proposal teams with contract review, compliance guidance, and risk assessments.
  • Aid in contract vehicle management and teaming strategies.
  • Support transition planning for newly awarded contracts.
  • Support governance activities related to contractual obligations and agreements.
  • Maintain signatory authority records and executed contract documentation.
  • Coordinate review and routing of agreements for executive approval.
  • Maintain contract templates, policies, and procedures.
  • Collaborate with program management, finance, HR, procurement, and leadership.
  • Provide guidance and training on contractual requirements and compliance.
  • Support resolution of contract-related issues and performance concerns.
  • Promote consistent contract management practices across the organization.

Minimum Qualifications

  • Bachelor's degree.
  • Minimum of five (5) years of progressively responsible directly related and progressive experience in federal government contract administration, subcontract management, procurement, program support, or related business operations.
  • Experience administering a minimum of $50 million in contracts and agreements throughout the full contract lifecycle.
  • Minimum of five (5) years' experience interpreting and negotiating contractual terms, conditions, and regulatory requirements.

Preferred Qualifications

  • Certified Federal Contracts Manager (CFCM), Certified Professional Contracts Manager (CPCM), Certified Commercial Contracts Manager (CCCM), or similar professional certification.
  • Experience supporting federal, tribal, commercial, construction, manufacturing, technology, or professional services environments.
  • Experience with FAR, DFARS, agency supplements, and government acquisition processes.
  • Experience supporting joint ventures, mentor-protégé arrangements, and small business programs.
  • Experience with contract vehicle administration, proposal support, and compliance management.

Knowledge, Skills, and Abilities

  • Strong organizational, analytical, negotiation, and communication skills.
  • Proficiency with Microsoft Office applications and enterprise resource planning (ERP) systems such as Deltek Costpoint, Unanet, or similar business management platforms.

Reporting Structure

Reports To: Chief Operating Officer
Direct Reports: Contract Administrators, Subcontract Administrators, Contract Specialists, or other assigned personnel as designated by leadership.

Working Conditions

The position operates in a professional office, remote, field, customer-site, or operational environment as required by business needs and may require occasional travel in support of organizational requirements.
