CPACE Legal Assistant
About the role
The Legal Assistant and Contracts Administrator assists with day-to-day legal operations and activities of the company, including corporate governance matters, preparing and tracking NDAs and other agreements, and reviewing and abstracting due diligence for transactions.
Responsibilities
- Assisting with corporate governance matters, including drafting, filing and managing various business entity documents, and assisting with 'know your customer' and related requests.
- Preparing and tracking NDAs and other agreements; and notification of managers around key events (reporting, expiration, etc.).
- Managing, updating and maintaining a set of legal document templates such as NDAs, assignment and notice documents, etc.
- Reviewing and abstracting due diligence for transactions, including, as needed: title work, lease agreements, construction contracts, zoning diligence, co-lender documentation, organizational documents, etc.
- Preparing documents for loan closings as requested.
- Assisting with post-closing matters such as loan abstracts, asset assignments and amendments.
- Managing on-line files and paper files.
