Responsibilities

  • Support both emerging companies and venture capital practices, as well as mergers and acquisitions
  • Act as a liaison with clients and attorneys; respond to client requests for information and coordinate case-related documents
  • Prepare closing documentation, including drafting, organizing, proofreading, and assembling documents
  • Prepare mergers and acquisitions documents, venture capital financing documents, and general corporate documents
  • Prepare applications for state and federal regulators
  • Conduct, organize, review, and summarize due diligence documents, including preparation of checklists and tracking receipt of documents
  • Prepare closing checklists and track closing-related items, performing post-closing follow-up as needed
  • Maintain accurate records of hours worked for accountability and client billing purposes

Qualifications

  • At least 3 years of corporate paralegal experience
  • Experience specifically in venture capital and mergers & acquisitions
  • Strong understanding of corporate law and business transactions, such as mergers and acquisitions, and/or venture capital financings
  • Private company experience is required
  • Experience with CARTA or Pulley, which are cap table management systems, is essential
  • Experience with accounting and tax preparation software such as OneSource/Zane, GEMs, or ProSystem fx is preferred
  • Bachelor’s degree and/or paralegal certificate is preferred

Pay

$80,000 - $130,000 / Year DOE
