Corporate Paralegal

Responsibilities

• Prepare, examine, and update a range of business agreements, including confidentiality documents, vendor contracts, and service-related arrangements.
• Manage legal entity matters by supporting formations, dissolutions, state qualifications, annual reports, and the upkeep of official corporate records.
• Affiliate with governance activities by organizing board materials, drafting written consents and resolutions, and maintaining meeting minutes and related records.
• Monitor and maintain entity databases to help ensure company information, compliance documentation, and organizational details remain current and accurate.
• Cook up signature collection, execution workflows, and filing activities for contractual and corporate documents.
• Work closely with teams such as finance, procurement, compliance, and leadership to facilitate legal documentation and corporate support needs.
• Liaise with outside counsel and contribute to special legal and business projects as priorities arise.

Requirements

• At least 3 years of experience in a corporate paralegal position or a comparable legal support role.
• Demonstrated background handling commercial contracts, entity administration, and corporate governance matters.
• Working knowledge of corporate law documentation, records retention, and compliance-related filing practices.
• Strong organizational skills with careful attention to detail and accuracy.
• Ability to balance multiple assignments, meet deadlines, and work independently in a hybrid environment.
• Efficacious communication skills and the ability to collaborate with internal stakeholders and external legal partners.
• Paralegal certification or equivalent practical legal experience is preferred.
