About the Opportunity

The Corporate Paralegal role is designed to support and enhance the organization's legal operations by managing corporate governance, contract administration, equity matters, and compliance documentation. This position contributes to the company's operational efficiency and legal discipline by coordinating across multiple departments and external counsel.

Responsibilities

  • Maintain corporate records, minute books, board and stockholder materials, written consents, and resolutions
  • Prepare, organize, and execute board and committee materials, stockholder consents, and corporate approvals
  • Manage company entity maintenance including filings, registered agent coordination, and officer/director updates
  • Support corporate transactions, financings, audits, due diligence, and strategic projects
  • Oversee contract intake, routing, approval, signature, filing, and tracking
  • Maintain organized legal repositories for agreements, NDAs, order forms, and amendments
  • Track contract terms, renewal dates, obligations, approval status, and executed documents
  • Aid with various agreements including NDAs, vendor, customer, reseller, and partner contracts
  • Support equity administration including stock option documentation, grant approvals, board consents, and records management
  • Aid with 409A valuations, financing records, and cap table support
  • Cook legal input for questionnaires, vendor onboarding, compliance, insurance certificates, business licenses, and regulatory forms
  • Manage legal billing, outside counsel coordination, budget tracking, and matter management
  • Collaborate cross-functionally with Sales, Finance, HR, Security to improve legal processes and business alignment
  • Handle confidential and sensitive information with discretion

Requirements

  • Minimum 5 years of experience in paralegal, corporate legal, or legal operations roles, ideally in technology, SaaS, cybersecurity, or high-growth companies
  • Proficient in corporate governance, legal records, contract administration, and document management
  • Experienced in supporting board materials, consents, stockholder approvals, filings, equity documentation, and financing transactions
  • Skilled in managing contract workflows, signature processes, legal repositories, and contract tracking
  • Familiarity with legal operations tools such as DocuSign, Carta, or similar platforms
  • Strong organizational skills and attention to detail
  • Effective written, verbal, and interpersonal communication skills
  • Self-motivated with the ability to work independently and take ownership
  • Business-oriented mindset balancing legal discipline with operational efficiency
  • High integrity and discretion in handling confidential information
  • Team player with a proactive attitude
  • Paralegal certificate or equivalent practical experience preferred

Pay Range and Compensation Package

The base compensation range for this role is USD $100,000 to $150,000 per year. Total compensation includes equity opportunity and varies based on experience, skills, qualifications, and location.
