Duties And Responsibilities
- Support for our Corporate Legal Team: Provide comprehensive support including calendar management, domestic and international travel, expense reporting, meeting coordination, visitor logistics, document processing, and confidential correspondence; perform additional duties as needed.
- Logically incoming legal documents; conduct comparisons, prepare exception tables, and track due dates for contracts, leases, tenders, and sales representative agreements.
- Manage litigation and subpoena files and oversee Law Department file room organization.
- Prepare corporate resolutions, powers of attorney, and other governance documents for domestic and international entities.
- Serve as liaison to global personnel; coordinate with operations and corporate teams to provide legal documentation and information.
- Administer intercompany loans, dividends, and capital contributions; prepare quarterly reporting for U.S. entities.
- Legal Entity Administration: Maintain global entity records; support entity formation/dissolution and prepare periodic reports.
- Records Retention & Archiving: Administer retention policies; maintain file room and archive index; coordinate file movement and approved destruction; affix corporate seals as required.
- Corporate Governance: Draft and finalize corporate documents; maintain minute books and stock ledgers for U.S. and international entities.
- KYC & Due Diligence: Handle KYC, AML, beneficial ownership (FinCEN/CTA), and due diligence requests with internal and external stakeholders.
- Contract Lifecycle Management: Maintain CLM system as the system of record for executed agreements; track all commercial contracts and related agreements.
- Tender Support: Assist with preparation and submission of tender responses.
- Conduct public records searches and filings.
- Board Support: Assist in preparation and distribution of board and committee materials.
- Prepare general and Customs powers of attorney; Track and support closings for mergers and acquisitions.
- Prepare and track closing books regarding Credit Agreements.
- Back up phones for both Receptionist and Executive Assistants as needed.
Qualifications
- Associates degree with a specialization in paralegal studies required.
- Paralegal certification is required.
- Minimum 3-5 years of administrative work in a “legal” environment is required.
- Notary license/certification preferred.
- Strong verbal and written communication skills required.
- Demonstrated strong organizational and time management skills, with the ability to multi-task in a high-pressure environment with frequently changing priorities.
- Must exercise an extremely high level of confidentiality related to the support provided to senior executives, as well as exposure to confidential/classified company information.
- Strong computer skills in Word, Excel, PowerPoint, Visio and Adobe Acrobat required.
