About the role
A junior paralegal is sought to support the legal team of a global investment management firm based in New York City.
Responsibilities
- Form legal entities, draft organizational documents and create structure charts.
- Review marketing materials, investor presentations, RFPs and due diligence questionnaires.
- Act as lead coordinator for a number of recurring or special projects, including fund regulatory filings, non-U.S. marketing registration and firm-related internal matters.
- Cook up board meetings and prepare board packages; draft board and GP resolutions.
- Maintain side letter repository; monitor compliance with investor side letters.
- Cook up responses to due diligence and regulatory compliance inquiries from investors and counterparties (e.g., AML/KYC, FOIA).
- Maintain fund-related, trading and management company documentation.
- Review and negotiate confidentiality agreements with prospective investors and counterparties.
- Draft assignment agreements and other ad-hoc documentation.
- Manage requests for confirmations and other documentation relating to fund administrator, auditor, prime brokers, risk aggregators and other service providers.
- Oversee onboarding processes with executing brokers.
- Aid with the firm’s vendor contract review system; review statements of work and contract renewals.
Requirements
- Bachelor’s degree from a top-tier school.
- Prior professional experience in a top-tier law firm (specific experience within an investment management or funds practice is a plus) and/or hedge fund/private equity fund manager.
- Knowledge of common fund structures and familiarity with common fund terms helpful.
- Expertise in Word, Excel and PowerPoint; experience using document management systems (e.g., SharePoint) and diagramming graphics applications (e.g., Visio) helpful.
- Superior organizational skills, with close attention to detail.
- Strong written and verbal communication skills.
- Ability to build relationships with internal clients and external service providers, interfacing with individuals at all levels.
- Resourceful and can think creatively to solve problems; ability to take initiative and follow through.
- Must demonstrate professional conduct, strong work ethic and good judgment.
- Must be a team player who works well under pressure and able to independently and reliably conclude projects and assignments.
Skills
- Technical knowledge of AI is not required, but good instincts with AI and the ability to think strategically and learn quickly are critical.
