About the role
A leading national law firm is seeking a Corporate Attorney with 7+ years of experience in private investment fund formation to join its sophisticated corporate practice.
This is an exceptional opportunity for a senior attorney with deep experience in private equity and private real estate fund formation to work on complex fund structuring matters for sophisticated sponsors, investment managers, and institutional market participants. The role is suited for attorneys who thrive in high-level transactional environments and are looking to take on significant client responsibility in a growing private funds platform.
Responsibilities
- Advise clients on the formation and structuring of private equity, private real estate, venture capital, and hedge funds
- Lead private placement transactions and manage fundraises from formation through closing
- Draft and negotiate fund governing documents, subscription materials, and offering documentation
- Counsel on securities regulatory matters, including compliance under federal securities laws and investment adviser regulations
- Negotiate fund terms with investors and assist with strategic structuring decisions
- Advising on fund operations, governance matters, and ongoing regulatory considerations
- Work directly with sponsors, fund managers, family offices, and institutional investors on sophisticated transactional matters
Requirements
- 7+ years of private funds and fund formation experience in a law firm environment
- Strong background advising on private equity, private real estate, venture capital, or hedge fund structures
- Extensive experience with private placements and securities regulation
- Deep knowledge of the Securities Act, Investment Advisers Act, and Investment Company Act
- Experience negotiating fund terms and managing investor-side considerations
- Strong drafting, structuring, and transactional management skills
- Excellent academic credentials
- Juris Doctor (JD) required
- Previous experience working in a law firm is required
- Active bar admission in at least one U.S. jurisdiction
