Key Responsibilities

  • Advising private equity sponsors and institutional investors on the structuring, formation, and operation of private investment funds.
  • Draft and negotiate fund formation documentation and related transactional materials.
  • Counsel clients on legal, regulatory, governance, and compliance matters affecting private investment funds.
  • Collaborate with colleagues across complementary practice areas on sophisticated investment management matters.
  • Develop strong client relationships while managing multiple complex transactions and deadlines.

Candidate Profile

  • 3–5 years of private fund formation experience gained within a law firm.
  • Strong understanding of private equity fund structures, formation, and ongoing operational matters.
  • Excellent drafting, analytical, negotiation, and communication skills.
  • Highly organized with exceptional attention to detail and the ability to manage multiple priorities effectively.
  • Comfortable working independently while thriving in a collaborative team environment.
  • Professional, commercially minded, and confident interacting directly with clients and investors.
  • Juris Doctor (JD) from an ABA-accredited law school is required.
  • Previous experience working in a law firm is required.
  • Admission to the New York Bar is required.
