Key Responsibilities
- Advising private equity sponsors and institutional investors on the structuring, formation, and operation of private investment funds.
- Draft and negotiate fund formation documentation and related transactional materials.
- Counsel clients on legal, regulatory, governance, and compliance matters affecting private investment funds.
- Collaborate with colleagues across complementary practice areas on sophisticated investment management matters.
- Develop strong client relationships while managing multiple complex transactions and deadlines.
Candidate Profile
- 3–5 years of private fund formation experience gained within a law firm.
- Strong understanding of private equity fund structures, formation, and ongoing operational matters.
- Excellent drafting, analytical, negotiation, and communication skills.
- Highly organized with exceptional attention to detail and the ability to manage multiple priorities effectively.
- Comfortable working independently while thriving in a collaborative team environment.
- Professional, commercially minded, and confident interacting directly with clients and investors.
- Juris Doctor (JD) from an ABA-accredited law school is required.
- Previous experience working in a law firm is required.
- Admission to the New York Bar is required.
