About the role

The PositionOur client, a global investment management firm, is seeking an investment funds attorney to support its growing Alternative Private Investments Team on a contract basis. The attorney will advise on privately offered alternative investment vehicles throughout the fund lifecycle, with significant work involving private credit funds, as well as hedge funds, real estate funds, and other alternative investment products. The ideal candidate will have at least three years of private fund formation experience and be comfortable drafting private placement memoranda, partnership agreements, side letters, and other fund formation documents. This attorney will also review subscription materials, advise business stakeholders on regulatory matters, negotiate fund-related agreements, and help navigate evolving legal and compliance requirements across U.S. and offshore fund structures.

Responsibilities

  • Advising on privately offered alternative investment vehicles throughout the fund lifecycle
  • Drafting private placement memoranda, partnership agreements, side letters, and other fund formation documents
  • Reviewing subscription materials
  • Advise business stakeholders on regulatory matters
  • Negotiate fund-related agreements
  • Help navigate evolving legal and compliance requirements across U.S. and offshore fund structures

Requirements

  • At least three years of private fund formation experience
  • Comfortable drafting private placement memoranda, partnership agreements, side letters, and other fund formation documents
  • Experience advising on regulatory matters and negotiating fund-related agreements
  • Ability to work in a fast-paced, collaborative environment supporting sophisticated investment products

Qualifications

  • Law degree from an accredited law school
  • Admitted to practice law in at least one state
  • Experience in private equity, venture capital, or similar alternative investment areas
  • Strong understanding of U.S. and international securities laws and regulations
  • Excellent communication skills and ability to work collaboratively with business stakeholders

Skills

  • Strong legal research and writing skills
  • Ability to manage multiple projects simultaneously
  • Attention to detail and ability to handle confidential information
  • Proficiency in Microsoft Office Suite

Pay

This project starts ASAP, is expected to last approximately three months with potential extension through the end of the year, is remote with a preference for candidates who can work hybrid from Nashville or Minneapolis, and requires approximately 20+ hours per week up to full-time depending on business needs. The hourly rate for this assignment is expected to be between $110 and $120. This range is an estimate; an employee’s compensation will be based on the employee’s qualifications, skillset, and relevant experience, specific client needs, project requirements, and other considerations permitted by law.
