About the role
The firm is seeking an associate to join its Corporate Practice Group in the Scottsdale, Arizona office. This role is well suited for an attorney with an interest in corporate and business entities, securities law, mergers and acquisitions, venture-backed technology companies, and institutional investment, offering the opportunity to develop corporate expertise while working closely with experienced partners and sophisticated clients.
Responsibilities
- Aid in the review and negotiation of complex institutional investments, including private equity, venture capital, hedge fund, private credit, and SBIC fund limited partnership agreements and related instruments on behalf of commercial banks and governmental pension plans.
- Support sell-side and buy-side middle market M&A transactions.
- Represent venture-backed technology companies in various industry verticals, such as AI, quantum computing, and other cutting-edge technologies, in connection with entity formation, equity compensation, seed and venture capital financings, and strategic partnerships.
- Draft and negotiate complex commercial contracts, including organizational documents, partnership agreements, LLC operating agreements, equity compensation plans, and intellectual property licensing agreements.
- Conduct due diligence investigations of companies.
- Ensure compliance with federal and state securities laws.
Qualifications: Skills and Abilities
- Proficiency in drafting and negotiating a wide variety of corporate and other transaction documents.
- Knowledge of corporate and business entity laws.
- Excellent written and oral communication skills.
- Ability to manage multiple matters and tasks simultaneously and to complete tasks efficiently, effectively, and in a timely manner.
- Ability to apply critical thinking and possess a high attention to detail.
- Strong organizational and analytical skills.
- Self-motivated with a strong work ethic and ability to work effectively under pressure.
- Ability and confidence to work independently while thriving in a collaborative, team environment.
Qualifications: Education and Experience
- Must be currently admitted to practice in Arizona with an active bar license in good standing or have an active bar license in good standing in another jurisdiction and be eligible to be admitted in Arizona on motion at applicant’s expense.
- Minimum of 3 years’ experience in corporations and other business entities, securities, and/or investments in a law firm or legal department preferred.
- Excellent academic record.
