Responsibilities

• Draft and negotiate transaction documents, purchase agreements, operating agreements, and commercial contracts
• Assist with mergers, acquisitions, and other strategic transactions
• Conduct due diligence and manage transaction workflows
• Advises closely held businesses on corporate governance and operational matters
• Supports private equity, startup, and emerging growth company clients
• Collaborates directly with partners and clients on sophisticated transactional matters

Qualifications

• J.D. from an accredited law school
• 4–8 years of corporate transactional experience
• Experience with M&A transactions strongly preferred
• Strong drafting, negotiation, and analytical skills
• Ability to manage multiple matters simultaneously
• Massachusetts Bar admission
