Duties/Responsibilities
- Review, draft, negotiate, and manage a broad range of commercial agreements including: Master Services Agreements (MSAs), Statements of Work (SOWs), Service Addendums, SaaS Agreements, Renewal Agreements, Non-Disclosure Agreements (NDAs), Vendor Agreements, Partnership Agreements, and Subcontractor Agreements.
- Serve as the primary legal advisor supporting Sales, Finance, Contracts, and Operations teams during contract negotiations and customer onboarding activities.
- Provide practical legal guidance regarding contract interpretation, liability exposure, pricing structures, service delivery obligations, indemnification provisions, limitation of liability clauses, and commercial risk allocation.
- Partner closely with leadership teams to support strategic business decisions related to contractual obligations, pricing structures, renewals, and customer relationship management.
- Assist in the development, standardization, and continuous improvement of ISI contract templates, legal workflows, and operational processes to improve scalability and reduce contracting cycle times.
- Support the implementation and optimization of contract lifecycle management and redline review workflows utilizing tools such as PandaDoc and related systems.
- Advise on legal and operational considerations related to managed services, cybersecurity, SaaS offerings, compliance services, government contracting, and security-related service offerings.
- Review and provide guidance on subcontractor agreements, flow-down provisions, government contracting requirements, and vendor compliance obligations as applicable.
- Collaborate with executive leadership on contractual strategy, risk posture, pricing structure evolution, and operational scalability initiatives.
- Help identify areas where legal processes, contract structures, and business workflows can be simplified or modernized while maintaining appropriate protections for ISI.
- Maintain awareness of evolving legal, compliance, cybersecurity, and government contracting trends that may impact ISI operations or customer relationships.
Qualifications
- Active bar membership in good standing in at least one U.S. jurisdiction.
- 4+ years of experience in commercial contracting, corporate law, technology transactions, or related legal practice areas.
- Strong experience reviewing and negotiating commercial agreements and customer contract redlines.
- Ability to provide business-oriented legal guidance in fast-paced operational environments.
- Strong understanding of: SaaS agreements, Managed services agreements, Commercial contracting, Risk allocation, Limitation of liability, Indemnification, Data privacy and confidentiality provisions, Vendor and partnership agreements.
- Excellent communication and negotiation skills with the ability to explain legal concepts to both technical and non-technical stakeholders.
- Hightly organized with strong attention to detail and ability to manage multiple concurrent negotiations and priorities.
- Strong interpersonal skills and ability to build trusted relationships across business units.
- United States Citizenship required.
