Commercial Lending & Finance Associate Attorney

Responsibilities

• Represent lenders and borrowers in a variety of commercial finance transactions, including secured and unsecured lending arrangements
• Draft, review, and negotiate loan agreements, credit facilities, security documents, and related financing materials
• Afford assistance with structuring transactions, including acquisition financing, asset-based lending, and revolving credit facilities
• Conduct due diligence reviews and support closings by coordinating documentation and managing transaction timelines
• Advises clients on collateral, perfection, and priority issues under the UCC
• Works closely with senior attorneys and clients to identify risks and ensure smooth execution of transactions

Qualifications

• J.D. from an accredited law school and admitted to practice (or ability to waive in)
• 2+ years of experience in commercial lending, finance, or general transactional work at a law firm
• Experience drafting and negotiating loan documents and related agreements preferred
• Familiarity with secured transactions and UCC concepts is a plus
• Strong analytical, drafting, and organizational skills with attention to detail
• Ability to manage multiple matters and operate effectively in a fast-paced environment
• Strong communication skills and ability to work directly with clients
