Responsibilities
- Represent banks, institutional lenders, private lenders, and borrowers in complex commercial lending and finance transactions, including first- and second-lien commercial real estate financings.
- Structure, negotiate, document, and close commercial real estate credit facilities secured by mortgages, deeds of trust, and other collateral arrangements.
- Advises clients on all aspects of commercial real estate finance transactions, including acquisition, development, construction, refinancing, and permanent financing matters.
- Draft, review, and negotiate loan agreements, promissory notes, guaranties, security agreements, intercreditor agreements, and other financing-related documentation.
- Conduct and oversee due diligence reviews related to financing transactions, including title, survey, zoning, environmental, organizational, and collateral matters.
- Review title insurance commitments and policies, identify title-related risks, prepare title objection and clearance correspondence, and coordinate resolution of title issues.
- Structure and perfect security interests in real property, personal property, fixtures, equipment, tenant improvements, accounts, and other collateral.
- Advise clients regarding commercial leases, easements, deeds, deeds of trust, and other real estate-related agreements and instruments.
- Represent lenders and borrowers in loan modifications, workouts, restructurings, foreclosures, and other distressed asset matters.
- Provide strategic guidance on risk management, collateral protection, and regulatory compliance throughout the lending process.
- Aid with related commercial real estate acquisitions, dispositions, investments, corporate transactions, and mergers and acquisitions when financing components are involved.
- Cook with title companies, surveyors, borrowers, lenders, investors, consultants, and other stakeholders to facilitate successful transaction execution.
- Maintain organized transaction records and client files while ensuring timely communication and exceptional client service throughout all phases of representation.
Requirements
- 10+ years of continuous, substantive, and verifiable experience in commercial lending, commercial real estate finance, and secured transactions.
- Extensive experience representing financial institutions, lenders, borrowers, and investors in sophisticated commercial real estate financing transactions.
- Demonstrated expertise in structuring, negotiating, documenting, and closing complex credit facilities and real estate-secured lending transactions.
- In-depth knowledge of commercial real estate finance, secured lending, title matters, collateral perfection, and real estate due diligence.
- Strong understanding of loan workouts, restructurings, distressed asset transactions, and creditor rights issues.
- Experience with commercial real estate acquisitions, dispositions, development projects, corporate transactions, and mergers and acquisitions is highly desirable.
- Excellent drafting, negotiation, analytical, and problem-solving skills, with the ability to develop practical and business-oriented legal solutions.
- Exceptional oral and written communication skills with the ability to effectively advise sophisticated clients and transaction participants.
- Comprehensive knowledge of applicable federal and state laws, regulations, filing requirements, and legal procedures affecting commercial lending and real estate transactions.
