Key Responsibilities
- Manage and litigate business disputes in state and federal court, including drafting pleadings, motions, discovery, and trial preparation.
- Provide counsel and representation in breach of contract matters, contract disputes, and commercial collections actions.
- Draft, review, and negotiate a broad range of transactional documents: business sale agreements, purchase agreements, licensing agreements, vendor contracts, employee contracts, NDAs, and service agreements.
- Handle entity formations and corporate governance matters including LLC and corporate organization, operating agreements, bylaws, and Secretary of State filings and compliance.
- Advise clients on contract risk allocation, regulatory compliance, licensing requirements, and best practices for commercial transactions.
- Negotiate settlements, mediations, and alternative dispute resolution processes to achieve favorable outcomes for clients.
- Conduct legal research and prepare memoranda, risk assessments, and client-facing summaries explaining options and recommended strategies.
- Collaborate with clients, in-house counsel, and cross-functional teams to align legal strategy with business objectives and commercial realities.
- Manage case and matter budgets, billing, and client communications to ensure timely and transparent service delivery.
- Maintain up-to-date knowledge of relevant statutes, case law, and industry trends affecting business litigation and transactions.
Qualifications
- Juris Doctor (J.D.) degree from an accredited law school and active admission to the CO state bar in good standing.
- 3+ years of combined litigation and transactional experience, preferably with a law firm.
- Proven experience with business litigation including filing and defending breach of contract claims, motions practice, discovery, and trial or arbitration preparation.
- Hands-on experience drafting and negotiating entity formation documents (LLC operating agreements, incorporations), business sale agreements, vendor and employee contracts, and licensing agreements.
- Familiarity with Secretary of State filing processes and corporate compliance requirements.
- Strong contract drafting and negotiation skills with demonstrated ability to identify and mitigate contractual risk.
- Experience handling commercial collections matters and post-judgment enforcement preferred.
- Excellent written and oral communication skills, client counseling ability, and professional demeanor in high-pressure situations.
- Organizational skills and the ability to manage multiple matters and deadlines independently while maintaining high attention to detail.
- Proficiency with legal research tools, case management software, and standard office technology.
