Key Responsibilities
- Draft, review, and negotiate a wide variety of commercial contracts, including vendor agreements, NDAs, service agreements, licensing deals, and partnership contracts.
- Advise internal stakeholders and clients on legal risks and business terms related to corporate transactions.
- Lead and support M&A activities including due diligence, deal structuring, and post-closing integration.
- Ensure compliance with corporate governance and regulatory requirements.
- Collaborate with cross-functional teams including finance, operations, and human resources.
- Manage, mentor, and supervise junior attorneys and paralegals within the transactional group.
- Develop and execute strategies to grow the business transactional practice.
- Manage and coordinate with external counsel as needed for specialized legal matters.
- Monitor and advise on changes in relevant laws and regulations that may impact the business and clients.
Qualifications
- Juris Doctor (JD) from an accredited law school and active bar membership in good standing.
- 5+ years of experience in corporate and transactional law, preferably in a law firm and/or in-house legal department.
- Proven expertise in contract law, business transactions, and corporate governance.
- Previous management or team leadership experience strongly preferred.
- Strong negotiation, communication, and interpersonal skills.
- Able to manage multiple projects in a fast-paced environment with a high level of autonomy.
- Entrepreneurial spirit and interest in growing a practice area within an established firm.
- Business acumen and the ability to provide pragmatic legal solutions.
