An established firm based in Woodbridge, VA with over 45 years in practice is seeking a Real Estate Transactions Attorney to join their team in a hybrid work arrangement.

About the role

This Attorney will represent developers, lenders, buyers, sellers, and landowners in complex commercial real estate matters, including acquisitions and sales, development agreements, easements and covenants, leasing, financing transactions, condominium and homeowners' association formation, and mixed-use development projects, ensuring compliance with relevant laws and regulations.

Responsibilities

  • Represent developers, landowners, investors, lenders, buyers, and sellers in a broad range of commercial real estate transactions
  • Draft, review, and negotiate acquisition and sale agreements for commercial, residential, and mixed-use developments
  • Prepare and negotiate development agreements involving municipalities, counties, and private stakeholders
  • Draft reciprocal easement agreements, covenants, licenses, declarations, deeds, and related land use documents
  • Handle condominium and homeowners' association formation documents and ongoing representation matters
  • Review, draft, and negotiate commercial lease agreements for landlords and tenants
  • Assist with structuring and documenting complex public-private partnerships and development projects
  • Prepare, review, and negotiate loan documents and financing agreements
  • Coordinate transaction closings with lenders, title companies, surveyors, consultants, buyers, sellers, and other stakeholders
  • Conduct due diligence reviews, title analysis, and transactional risk assessments
  • Advise clients on real estate development issues, ownership structures, and transactional strategies
  • Collaborate with land use, zoning, and litigation attorneys to provide comprehensive legal solutions for real estate development projects
  • Support business development initiatives and maintain strong client relationships within the Virginia real estate community

Requirements

  • Juris Doctor from an accredited law school
  • Active membership in the Virginia State Bar or ability to waive in promptly
  • 3-8+ years of commercial real estate transactional experience
  • Experience drafting and negotiating acquisition and sale agreements, leases, easements, covenants, and development agreements
  • Strong understanding of land use and real estate development processes
  • Experience handling real estate financing transactions and loan documentation
  • Knowledge of condominium and homeowners' association formation and governance documents preferred
  • Exceptional drafting, negotiation, and client counseling skills
  • Ability to manage multiple sophisticated transactions simultaneously
  • Strong academic credentials and attention to detail
  • Commitment to delivering exceptional client service in a fast-paced practice
  • Currently authorized to work in the United States without the need for sponsorship for a non-immigrant visa
