Position Overview
The Capital Markets/Public Companies (CAPM) team at Pillsbury’s Corporate & Securities Business Unit is seeking a mid-level associate with substantial capital markets and SEC/public company reporting and corporate governance experience.
Responsibilities
- Lead and manage day-to-day execution of capital markets transactions, including with respect to debt, equity, and convertible debt/equity-linked transactions
- Draft and review offering documents, including registration statements, prospectuses, underwriting agreements, and related filings
- Coordinate due diligence processes and manage transaction timelines
- Advise clients on securities law reporting, compliance, and disclosure requirements and SEC reporting and corporate governance matters
- Take ownership of key deal workstreams and proactively drive transactions forward
- Collaborate with partners, senior associates, and cross-functional teams across offices
- Communicate effectively with clients, underwriters, and opposing counsel
Qualifications
- Juris Doctor (J.D.) from an ABA accredited law school
- 3 - 5 years of relevant capital markets experience, ideally at an Am Law 100 firm
- Repeat experience with public securities offerings, including with respect to debt, equity, and convertible debt/equity-linked transactions
- Strong working knowledge of U.S. securities laws, stock exchange matters, and regulatory frameworks
- Hands-on experience with debt, equity, and convertible debt/equity linked transactions
- Experience representing both issuers and underwriters
- Demonstrated ability to independently manage substantial components of transactions and run day-to-day execution
- Excellent academic credentials and strong analytical, writing, and communication skills
- Admission to the New York bar (or eligibility), or California bar for Silicon Valley candidates
Pay and Benefits
New York Pay range for this role, with final offer amount dependent on skillset and experience, is $310,000 - $390,000. Pillsbury Winthrop Shaw Pittman LLP is an Equal Opportunity Employer.
